Official Rules
To enter this Sweepstakes, you must agree to and abide by these Official Rules.

Eligibility
The WalkStyles “Vacation” Sweepstakes (“Sweepstakes”) is open only to legal residents of the 50 United States and Washington D.C., who are at least 18 years of age and who have an active e-mail account and Internet access at the beginning of the Sweepstakes. Any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within the past six months performed services for WalkStyles, Inc. or individuals who have, at the time of the drawing, a no-charge promotional Platinum membership account, or any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or play. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not. Potential winners may be required to provide proof of legal U.S. residency upon request prior to prize award. Void in Puerto Rico where prohibited by law.

Sweepstakes Entry
The Sweepstakes begins 12:00 PM PST on 1/10/08 and ends 11:59 PM PDT on 7/31/08. Sponsor’s computer is the official clock for this promotion. You must be a registered member of the WalkStyles.com site to be able to enter and play. To register, navigate the Internet to www.walkstyles.com and follow the links and instructions to register an account with WalkStyles. You may register as either a Basic or Platinum member. Basic registration is free.

Enter as follows:

• If you are a Basic member, simply sign-in to your account and press the ‘Enter to Win’ button located on the member’s default page. You may also navigate to the Vacation Sweepstakes page and select ‘Enter to Win’. Once an entry is placed, you will not be able to submit further entries during the promotional period. Only one (1) entry per person or email address is permitted for the Basic member sweepstakes.
• If you are a Platinum member, you are automatically given one (1) entry for the Platinum member sweepstakes. Additional entries can be obtained for each day you perform a successful DashTrak upload to your Platinum account during the promotional period. Only one additional entry per day is possible, regardless of the number of times you perform an upload that day.

All entries must be manually key-stroked; the use of automated entry devices or programs is prohibited. All entries become the sole property of Sponsor and none will be returned.

You have the option during registration to consent to receive promotional emails and reminder emails from WalkStyles. Consenting to receive promotional or reminder emails is optional. You do not have to consent to be eligible to participate in the Sweepstakes and consenting does not improve or otherwise affect your chances of winning.

WalkStyles is not responsible for any issues with registering and entering the sweepstakes, including but not limited to any technical or operational issues with the website and its usage by the member, Internet service, DashTrak device, lack of system requirements, or any other reason that prevents performing either the entering of the contest or performing a DashTrak upload. Furthermore, it is the sole responsibility of the entrant to notify WalkStyles if entrant changes his/her email address by amending their WalkStyles account’s email address using the WalkStyles.com web site.

Random drawing/selection of registered winners
Winners will be randomly selected via a random drawing. Two drawings will be held. One drawing will be based on all entries for all Basic member accounts in good standing as of the drawing end date and time. The second drawing will be based on all entries for all Platinum member accounts in good standing as of the drawing end date and time. The drawings will be conducted by WalkStyles, within 10 business days after the conclusion of the contest entry period. Entries will NOT be retained for subsequent promotional drawings.

Prizes, Approximate Retail Value (“ARV”) and Odds
Two instances (see terms under “Random drawing/selection of registered winners”) of the following prize will be awarded: One (1) trip for one (1) to Orange County, CA. Prize consists of round-trip coach class air transportation for one (1) to the Orange County (SNA) airport from major airport nearest winner’s residence; 5 day/4 night deluxe accommodations at the St. Regis Resort and Spa, Monarch Beach, CA; roundtrip ground transportation between SNA and the hotel; 10 meals; a $200 spa gift certificate for the resort spa or a round of golf (18 holes) at an exclusive Orange County golf course; participation in the scheduled walks and any other scheduled group events. Actual final value of trip may be higher or lower based on point of departure and ticket and hotel availability and cost at time of purchase. If Prize Winner lives within 150 miles of the St. Regis Resort and Spa, Monarch Beach, CA, he or she will receive, in lieu of air transportation, round-trip local transportation between winner’s residence and hotel.

Winner is solely responsible for all other expenses not specified herein, including but not limited to tips, taxes and hotel incidentals. Winner must provide own transportation to and from departure airport.

Total Approximate Retail Value of the prize: $ 3500.00. No substitution or transfer of prize will be made except in WalkStyles sole discretion or as required by law. If for any reason announced prize becomes unavailable, WalkStyles in its sole discretion may award a substitute prize of equal or greater value. Prize is not redeemable for cash. Prizes are non-transferable. By participating, Contestants agree to these Official Rules, which are final and binding in all respects, Federal, state or local taxes, if any, are the sole responsibility of the winner; winner will receive a 1099 tax form reflecting the actual value of the prize. Sweepstakes is available to over 100 million Internet users. Odds of winning prize depend on number of eligible entries received during the promotional period.

Prize winner understands that his or her trip may be part of a planned group event on specific dates. If dates of the trip need to change, winner will be notified and included with the rescheduled group dates. No other accommodation for date changes will be given to the winner.

Notification of Winning and Conditions; Disqualification
Winner will be notified by email. Failure to respond to the initial verification e-mail within 5 business days after notification or return of e-mail notification as undeliverable after 2 attempts will result in disqualification. Winner will be required to sign and return within 5 business days an Affidavit of Eligibility, Release and Indemnification, and a Publicity Release where allowed by law. If the signed Affidavit of Eligibility, Release and Indemnification and Publicity Release are not returned to WalkStyles within this specified time period, winner will be disqualified. If the winner is disqualified, prize will be award to an alternate winner selected from all remaining eligible entries received for applicable drawing. In the event of any dispute concerning the identity of any entrant, the entry will be deemed submitted by the natural person who is the authorized holder of the transmitting email account. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Interruption of Sweepstakes; Disqualification; Right to Change Sweepstakes
Entrants agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, WALKSTYLES WILL DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND MAY SEEK LEGAL REMEDIES TO THE FULLEST EXTENT OF THE LAW.

WalkStyles reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes if affected by such tampering. In such event, WalkStyles shall conduct the Sweepstakes and award the prize for all affected drawings by means of a drawing comprised of all eligible entries received for such affected drawing prior to and/or after (as appropriate) the action taken by WalkStyles or otherwise award the prize in a manner which is fair, appropriate and consistent with these official rules, as determined by WalkStyles in its sole discretion. Notice of cancellation/termination/modification/suspension of Sweepstakes will be posted on the website. No responsibility is assumed by WalkStyles for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this Sweepstakes.

Agreement to Be Bound; Releases; Indemnity; Waivers
By participating in this Sweepstakes, entrants agree to be bound by these official rules and the decisions of WalkStyles, which shall be final and binding in all respects. By participating in this Sweepstakes and accepting the prize that they may win, winning entrants agree to release and hold harmless and indemnify WalkStyles and their agencies and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance or use of the prize. Sweepstakes entrant agrees that, by entering the Sweepstakes, (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out of pocket expenses.

Right to Use Name and Likeness of Winners
By entering and if selected as a winner, the entrant authorizes the Released Parties to use their name, voice, likeness, photograph, prize information, biographical data and city and state of residence in promotional material and other media including the WalkStyles web site and/or winner’s list without further compensation unless prohibited by law. WalkStyles is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at WalkStyles sole discretion, without further obligation or compensation. Sweepstakes subject to the laws of the United Sates only. All federal, state and local laws and regulations apply. All submissions become the property of WalkStyles and will not be acknowledged.
